These terms and conditions (“Terms”) govern your use of services provided on or through https://www.helpiify.com and/or the Helpiify mobile application (collectively, the “Platform,” and together with the services offered on or through the Platform, the “Services”). These Terms also incorporate Helpiify’s Privacy Policy, available at https://www.helpiify.com/privacy-policy (“Privacy Policy”), and any additional guidelines, supplemental terms, policies, or disclaimers that Helpiify may provide from time to time (collectively, “Supplemental Terms”). The Privacy Policy and Supplemental Terms are an integral part of these Terms, and in case of any conflict between these Terms and the Supplemental Terms, the Supplemental Terms shall take precedence with respect to the applicable Services.
These Terms constitute a legally binding agreement between Helpiify (a company incorporated under the Companies Act, 2013, with its registered address at [Your Registered Address Here], and its principal place of business at [Your Principal Business Address Here]) (“Helpiify,” “we,” “us,” or “our”) and you, a user of the Services, or any legal entity that books Services on behalf of an end-user (“you” or “Customer”). By using the Services, you confirm that you have the legal capacity and authority to agree to these Terms. If you act on behalf of another person, you represent and warrant that you have the necessary authority to bind that person to these Terms.
By using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as amended from time to time. These Terms supersede all prior agreements, written or oral, relating to your use of the Services. If you do not agree to these Terms or are unwilling to comply with them, you must not use the Services.
1. SERVICES
(a) Helpiify operates an online platform (“Platform”) that allows users to discover, request, and schedule various home-based services with independent third-party professionals (“Service Professionals”). Through this Platform, Helpiify also enables a secure payment process, including collection of payments on behalf of Service Professionals and transfer of such payments to them after completion of services. (b) The actual work performed by Service Professionals is referred to as “Pro Services.” For clarity, the term “Services” only covers the operation of the Platform and related support, and does not include the Pro Services themselves. Helpiify does not directly deliver Pro Services and is not responsible for how they are performed. Service Professionals remain fully responsible and accountable for the quality, safety, and completion of Pro Services. They are not employees, agents, or partners of Helpiify, and cannot represent or bind Helpiify in any manner. (c) The Platform is intended for individual, household use unless otherwise agreed under a separate written arrangement. Currently, Helpiify provides its Services only in India. If you access or use the Platform or Pro Services outside India, you acknowledge and agree that the terms applicable to that region will apply and you will be bound accordingly. (d) Helpiify may offer its Services under different brand names or in association with its affiliates, subsidiaries, or licensed partners. (e) To deliver a smooth user experience, Helpiify may send you service-related updates, booking confirmations, reminders, invoices, or promotional communications via SMS, email, or WhatsApp. You may opt out of promotional communication through Platform settings or by contacting Helpiify at support@helpiify.com. However, opting out of essential service-related communication may affect our ability to provide the Services effectively. (f) For certain bookings, you may be asked to provide valid identification or verification details before a Service Professional is assigned. Refusal to share such information, if required, may lead to cancellation of your booking. (g) Helpiify Rewards & Credits:
(i) Helpiify may, at its discretion, issue promotional codes, wallet credits, or rewards (“Helpiify Credits”) which can be applied to eligible Services or Pro Services.
(ii) By using Helpiify Credits, you agree that:
They can only be used in compliance with the terms specified.
They cannot be sold, duplicated, or transferred without written consent from Helpiify.
They are not redeemable for cash and may carry an expiry date.
Helpiify may revoke or adjust Credits in case of misuse, fraud, or technical error.
(iii) Helpiify may issue Credits selectively, meaning different users may have different offers or benefits for similar services.
2. ACCOUNT CREATION
(a) To use the Platform and access the Services, you must first register by creating a personal account (“Account”). When creating your Account, you may be asked to provide certain details such as your name, mobile number, email address, and/or verification documents. You must be at least 18 years of age to register and use the Services.
(b) You agree that the information you provide when setting up your Account is correct, complete, and accurate, and you undertake to keep it updated at all times. Supplying false or incomplete information may result in suspension or termination of your Account.
(c) You are responsible for safeguarding your login credentials (password, OTP access, or any other verification method). Any activity conducted through your Account will be deemed to have been carried out by you. If you suspect unauthorised access or misuse of your Account, you must notify Helpiify immediately.
(d) Helpiify will not be responsible for any loss or damage arising from unauthorised use of your Account where you have failed to maintain security and confidentiality of your login details.
(e) By creating an Account, you consent to receive communications from Helpiify which may include:
Booking confirmations, service reminders, and payment alerts,
Notifications about updates, features, or policies,
Promotional offers, discounts, or deals from Helpiify and its partners,
Other service-related information necessary to deliver a smooth experience.
3. USER CONTENT
(a) The Platform may include interactive sections that allow users with an active Account to upload, share, or submit materials such as comments, ratings, reviews, feedback, suggestions, or ideas (“User Content”).
(b) To maintain service quality, Helpiify may request reviews from you about Service Professionals, and you acknowledge that Service Professionals may also provide reviews about you. All reviews must be truthful and not misleading. False or inaccurate reviews may result in actions against your Account, including suspension or removal.
(c) By submitting User Content, you provide Helpiify with a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, store, publish, distribute, process, adapt, translate, and create derivative works from such content for the operation and promotion of the Services. This may include, but is not limited to, displaying feedback on the Platform, improving service quality, marketing purposes, or complying with applicable legal obligations.
(d) You waive any claims relating to moral rights or similar rights over your User Content, to the extent permitted by applicable law, in connection with the rights granted above.
(e) Helpiify reserves the right, at its discretion and without prior notice, to edit, restrict, or remove any User Content that violates these Terms, is offensive, unlawful, misleading, or otherwise inappropriate for the Platform.
4. CONSENT TO USE DATA
(a) By using the Platform, you agree that Helpiify may collect, process, and store your personal information in accordance with its Privacy Policy, available at www.helpiify.com/privacy-policy. The Privacy Policy describes the types of data we collect, how we use it, and the measures we take to protect your privacy.
(b) In addition to what is outlined in the Privacy Policy, you also consent to Helpiify sharing your information with its affiliates, partners, and third-party service providers where necessary for:
Facilitating and improving the Services,
Carrying out analytics, research, and trend studies,
Providing you with promotional offers, loyalty benefits, and personalized experiences,
Enhancing overall customer satisfaction and service quality.
(c) Helpiify may be legally required to share your information with government authorities, regulators, or law enforcement agencies in connection with investigations, compliance obligations, or legal proceedings. You acknowledge and agree that Helpiify shall have the right to disclose such information when mandated under applicable laws.
5. BOOKINGS
(a) Placing Orders:
The Platform allows you to request various home services (“Pro Services”) at your preferred time, subject to availability. To make a booking, you must follow the steps outlined on the Platform and provide all required details. Helpiify will make reasonable efforts to match you with a suitable Service Professional for the requested time. If no Service Professional is available for your chosen slot, Helpiify will contact you to suggest an alternative time.
(b) Booking Confirmation:
After you submit a booking request, Helpiify will send a confirmation via SMS, email, or in-App notification. Once a Service Professional is assigned and the booking is confirmed, payment must be made as per the instructions on the Platform. Confirmation of the assigned Service Professional will also be communicated via the Platform or through SMS/email notifications.
(c) Cancellations:
Bookings cancelled before confirmation on the Platform will not incur any charges. For confirmed bookings, Helpiify’s cancellation policy will apply, and any applicable fees will be communicated during the cancellation process.
(d) Replacement of Service Professionals:
If a selected Service Professional becomes unavailable or cancels the booking, Helpiify will make reasonable efforts to provide a replacement from its pool of registered professionals. You will be notified of the replacement and may choose to accept or reschedule the service.
6. PRICING, FEES, AND PAYMENT TERMS
(a) Service Charges:
Helpiify reserves the right to charge you for the services you request on the Platform, as well as for any additional options or facilities you may choose to avail. Charges will be communicated to you at the time of booking.
(b) Charges for Pro Services:
(i) For the Pro Services requested through the Platform, you agree to pay the Service Professional the amount indicated at the time of booking, which may include:
Charges for any additional Pro Services requested,
Expenses incurred by the Service Professional to complete the service, and
Costs for any materials or goods used in providing the service (“Service Charges”).
In addition to the Service Charges, Helpiify may apply a convenience fee for facilitating the booking and transferring payments to the Service Professional (“Platform Fee”). The final invoice may include other applicable fees, such as safety, insurance, warranty, or professional welfare fees.
(ii) Payment options available may include credit/debit cards, UPI, net banking, digital wallets, or cash upon completion. Helpiify reserves the right to modify or restrict payment methods at its discretion. Some payment options, like cash upon completion, may not always be available.
(iii) Service Charges and Platform Fees may be payable at the time of booking or after completion of the Pro Service, as specified on the Platform.
(iv) Service Charges are paid directly to the Service Professionals, with Helpiify acting only as an intermediary for collection and transfer of funds.
(v) All amounts are inclusive of applicable taxes unless specified otherwise.
(vi) Helpiify may update or revise the Service Charges and Platform Fees from time to time. Any changes will not affect bookings already confirmed before the updated fees are published on the Platform.
(vii) Payments made are generally non-refundable unless otherwise required by law or determined by Helpiify due to service failures.
(viii) During periods of high demand, Service Charges and Platform Fees may increase. While Helpiify will attempt to inform users of such changes, you remain responsible for all charges incurred under your Account.
(c) Payment Processing:
Helpiify may use third-party payment gateways to process your payments. All transactions are subject to the terms of the payment processor, and Helpiify is not liable for any errors or issues caused by the processor. Failed transactions will be handled in accordance with the processor’s policies.
(d) Cancellations:
You may cancel a service request before the Service Professional arrives. Cancellation fees may apply, as described in Helpiify’s cancellation policy, and any applicable taxes may be charged.
(e) Subscriptions:
Helpiify may offer subscription plans or packages that provide additional benefits, such as discounted services. These subscriptions are subject to separate terms and conditions, which form part of these Terms.
(f) Gratuity:
Helpiify does not mandate or automatically include tips for Service Professionals. Tips or gratuities are voluntary and at your discretion. Any representations about “voluntary” or “included” gratuity do not imply additional payments from Helpiify to Service Professionals.
7. CUSTOMER CONDUCT
(a) Non-Discrimination:
Helpiify expects users to treat all Service Professionals fairly and without discrimination based on race, religion, caste, national origin, disability, sexual orientation, gender, marital status, age, or any other characteristic protected by law. Discrimination includes, but is not limited to, refusing to book or avail services based on these factors.
(b) Respect and Safety:
You must provide Service Professionals with a safe, clean, and suitable environment to perform their services. All Service Professionals are entitled to refuse service if the location is unsafe, unsanitary, or inappropriate, or if they face discourteous, disrespectful, or abusive behavior. Helpiify reserves the right to suspend or restrict your access to the Platform or Services if your behavior towards Service Professionals is deemed inappropriate, unlawful, or abusive.
(c) User Responsibility:
You are responsible for ensuring that Service Professionals can safely and effectively perform the requested services. This includes disclosing any information relevant to the service location, safety, or health concerns that may affect the Service Professional. You will be liable for any harm, damage, or disruption resulting from your failure to provide a safe and suitable environment or from discriminatory behavior.
(d) Reporting Misconduct:
If you experience or witness any discourteous, disrespectful, abusive, or unlawful behavior from a Service Professional, you must report the incident to Support@helpiify.com as soon as possible, and in any case within 48 hours of the incident. Helpiify will review and address all reported cases promptly.
8. THIRD PARTY SERVICES
(a) Use of Third-Party Content:
The Platform may feature services, content, materials, or links provided by third parties (“Third-Party Services”). You acknowledge that all Third-Party Services are created, maintained, and controlled solely by the respective third parties. Any access to or use of Third-Party Services is done entirely at your own risk.
(b) No Warranties or Liability:
Helpiify does not guarantee the accuracy, completeness, or reliability of Third-Party Services and expressly disclaims any responsibility or liability arising from your use of such services. By using a Third-Party Service, you agree to be bound by the terms, conditions, and privacy policies of the third-party provider. All intellectual property rights in Third-Party Services remain the property of their respective owners.
9. YOUR RESPONSIBILITIES
(a) Accuracy of Information:
You confirm that all information provided to Helpiify for availing Services or Pro Services is accurate, complete, and truthful at the time of submission and remains so while you use the Platform. You agree to promptly update any information that changes. Helpiify will not be responsible for any loss or damage arising from incorrect, incomplete, or misleading information provided by you, or from your failure to disclose relevant facts.
(b) Cooperation:
You agree to cooperate fully with Helpiify in connection with any investigation, claim, or legal proceeding arising from a breach of your obligations under these Terms.
(c) User Content:
You represent and warrant that:
(i) You have all necessary rights or permissions to submit any User Content and to grant Helpiify the licenses described in these Terms.
(ii) You are responsible for all activity through your Account, including your User Content.
(iii) Your User Content does not violate any agreements you have with others.
(iv) Your User Content does not infringe upon any intellectual property, publicity, or privacy rights of third parties.
(v) Your User Content does not include harmful software, viruses, or malicious code.
(vi) Your User Content does not violate third-party rights.
(vii) Your User Content does not contain offensive, unlawful, defamatory, obscene, discriminatory, or otherwise objectionable material, or material that threatens public order, security, or the rights of others.
(d) Proper Use of Services:
You agree not to use the Services except as expressly permitted in these Terms. Specifically, you shall not:
(i) Infringe any third-party intellectual property rights.
(ii) Copy, modify, distribute, reproduce, or create derivative works from the Services without authorization.
(iii) Transmit viruses, malware, or harmful code through the Services.
(iv) Use automated tools or manual methods to monitor, extract, or replicate content from the Platform.
(v) Systematically collect data to compile databases, directories, or listings.
(vi) Use the Services for unlawful, fraudulent, or malicious purposes.
(vii) Attempt to reverse engineer, decompile, or disassemble the Platform.
(viii) Link to, frame, or mirror the Services without prior permission.
(ix) Violate any applicable law while using the Services.
(e) Interference:
You must not engage in any action that disrupts or interferes with the proper functioning of the Services.
(f) Unauthorized Access:
You shall not attempt to gain unauthorized access to any part of the Services, Helpiify’s systems, networks, or servers through hacking, password mining, or any other illegitimate means.
(g) Non-Solicitation of Service Professionals:
You agree not to directly or indirectly solicit, hire, or engage any Service Professional you have interacted with on the Platform for services outside of Helpiify, without booking through the Platform. This restriction is necessary to protect the privacy, security, and fair treatment of Service Professionals. You acknowledge that using the Platform ensures both your safety and the professional integrity of the Service Professionals.
10. OUR INTELLECTUAL PROPERTY
(a) Ownership of Services:
All rights, title, and interest in the Platform, Services, and all associated intellectual property, including copyrights, trademarks, patents, and other proprietary rights, are owned by Helpiify or its licensors. Subject to these Terms, Helpiify grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services solely for personal purposes in accordance with these Terms and any written instructions provided by Helpiify. All rights not expressly granted are reserved by Helpiify and its licensors.
(b) Feedback:
From time to time, Helpiify may invite you to provide suggestions, bug reports, or other feedback regarding the Services (“Feedback”). By submitting Feedback, you grant Helpiify the right to use, reproduce, publish, display, distribute, and exploit such Feedback without restriction, payment, or acknowledgment. Helpiify may use this Feedback to improve the Platform, Services, or related offerings.
(c) No Additional Rights:
Except as expressly stated in these Terms, nothing in these Terms grants you any rights or licenses to Helpiify’s intellectual property or that of any third party. All intellectual property rights remain the sole property of Helpiify or its respective owners.
11. TERM AND TERMINATION
(a) Term:
These Terms remain in effect from the time you accept them until terminated in accordance with this Section.
(b) Termination by Helpiify:
Helpiify may suspend, restrict, or terminate your access to the Services, in whole or in part, immediately or at any time at its sole discretion, including but not limited to:
If you violate any of your obligations, responsibilities, or commitments under these Terms,
If you cease to be an active user of the Services,
If you fail to meet any legal, regulatory, or platform eligibility requirements, or
If you breach Helpiify’s Community Guidelines or engage in inappropriate conduct.
Helpiify may also terminate your access with 30 days’ prior written notice or immediately for legitimate business, legal, or regulatory reasons.
(c) Termination by You:
You may terminate your use of the Services at any time for any reason by sending a notice to Support@helpiify.com.
(d) Effects of Termination:
Upon termination:
Your Account will be deactivated.
Access to the Services will end.
These Terms will cease to apply, except for provisions that are intended, expressly or by implication, to survive termination, including but not limited to obligations relating to payments, intellectual property, liability, and dispute resolution.

12. DISCLAIMERS AND WARRANTIES
(a) “As Is” Basis:
The Services and Platform are provided on an “as is” basis without any warranties, whether express, implied, statutory, or otherwise. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. Helpiify does not guarantee that the Services will meet your specific requirements or expectations.
(b) No Additional Warranties from Advice:
Any information, guidance, or advice provided by Helpiify, whether written or verbal, does not create any warranty that is not explicitly included in these Terms.
(c) Pricing Errors:
While Helpiify strives to provide accurate information regarding Services and their pricing, occasional errors may occur.
(d) Role of Helpiify:
You acknowledge that Helpiify only facilitates a connection between you and Service Professionals. Helpiify is not responsible for the performance of any Service Professional, fulfillment of bookings, or any acts, omissions, or damages caused by a Service Professional. By availing services through the Platform, you enter into a direct contract with the Service Professional, and Helpiify accepts no liability for the professional’s performance.
(e) Independent Engagement:
Any services you receive directly from Service Professionals, outside of Helpiify, are undertaken entirely at your own risk, and you waive any claims against Helpiify arising from such independent arrangements.
(f) No Guarantee on Service Professionals:
Helpiify makes no representation or warranty regarding the reliability, quality, or suitability of Service Professionals.
(g) User Responsibility:
You accept full responsibility for the outcomes and consequences of using the Services or Pro Services, and Helpiify shall have no liability in this regard.
(h) Complaint Management:
Helpiify will maintain a complaints management framework and handle complaints reasonably on behalf of Service Professionals, in line with applicable non-excludable legal requirements.
(i) Limitation of Liability:
To the fullest extent permitted by law, Helpiify, its affiliates, and related parties disclaim any liability for losses or damages arising from:
Your use, inability to use, or unavailability of the Services or Pro Services,
Defects, delays, interruptions, communication failures, theft, destruction, or unauthorized access to Helpiify systems,
Service outages, and
Loss of User Content or other data associated with your use of the Services.
(j) No Consequential Damages:
Helpiify, its officers, employees, contractors, partners, or suppliers shall not be liable for any direct, indirect, incidental, consequential, punitive, reliance, or special damages, including lost profits, business opportunities, or anticipated revenues, even if informed of the possibility of such damages. This applies to losses arising from these Terms, the Services, Pro Services, or interactions with other users.
(k) Maximum Liability:
To the maximum extent permitted by law, Helpiify’s liability for any claim under these Terms shall not exceed the commission received by Helpiify for the specific booking in question. In no event shall total liability exceed INR 10,000 (Ten Thousand Rupees).
(l) Non-Excludable Rights:
Nothing in these Terms excludes or limits any warranties or rights that cannot be lawfully excluded under applicable law.
13. INDEMNITY
You agree to indemnify, defend, and hold harmless Helpiify, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, demands, lawsuits, proceedings, losses, liabilities, damages, and expenses (including legal fees and settlements) arising out of or relating to:
Your use of the Platform, Services, or Pro Services,
Any breach of these Terms by you,
Any activity conducted through your Account, including actions by third parties using your credentials, or
Any violation of applicable laws, regulations, or the rights of others connected to your use of the Services.
14. JURISDICTION, GOVERNING LAWS, AND DISPUTE RESOLUTION
(a) Governing Law:
These Terms shall be governed by and interpreted in accordance with the laws of India. Unless stated otherwise in this Section, the courts located in New Delhi shall have exclusive jurisdiction over any disputes, claims, or issues arising from these Terms or your use of the Services.
(b) Arbitration:
Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved through arbitration in New Delhi, conducted under the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time.
The arbitration shall be conducted by one arbitrator appointed by Helpiify.
The proceedings shall be in English.
All parties must maintain confidentiality regarding the arbitration, except as required by law or to their legal advisors on a need-to-know basis.
The arbitrator’s decision shall be final and binding on all parties.
Each party shall bear its own costs and expenses associated with the arbitration.
15. GRIEVANCE REDRESSAL

(b) Resolution Timeline:
Helpiify shall make reasonable efforts to address and resolve your complaint within the timelines specified under applicable laws.
16. MISCELLANEOUS PROVISIONS
(a) Changes to Terms:
Helpiify may revise these Terms at any time, and such changes will take effect immediately upon posting on the Platform. It is your responsibility to review these Terms periodically. By continuing to use the Platform after any changes are posted, you agree to be bound by the updated Terms.
(b) Modifications to the Services:
Helpiify reserves the right to add, modify, suspend, or discontinue, temporarily or permanently, any part of the Services, with or without notice. Helpiify shall not be liable for any impact resulting from such changes.
(c) Severability:
If any provision of these Terms is found to be unlawful, invalid, or unenforceable by a competent authority, the remaining provisions will remain in effect. If removing a portion of the provision would make it lawful and enforceable, only that portion will be deemed deleted.
(d) Assignment:
You may not assign, transfer, or delegate your rights or obligations under these Terms, or your Account, without Helpiify’s prior written consent. Helpiify may assign its rights to any affiliate, subsidiary, parent company, successor, or third party without prior notice.
(e) Notices:
Any formal notices, requests, or legal communications to Helpiify under these Terms should be sent to: Helpiifyindore@helpiify.com.
(f) Third-Party Rights:
These Terms do not grant any enforceable rights to any third party.
(g) Force Majeure:
Helpiify shall not be liable for delays or failures in performance caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, network failures, war, civil disturbances, malicious acts, or compliance with any applicable law or government order.
